Anonymous Florida LLC

Even through Florida is one of the leading states in the US when it comes to transparency and corporate disclosure laws, there remains the possibility to form an anonymous Florida LLC. There are a number of reasons why an individual would not want to disclose his or her personal information when forming an LLC, many of which fall along the simple lines of wanting to protect their privacy and security. If you wish to keep your personal information private when forming your Florida business, you have the option of forming an anonymous LLC.

In the state of Florida, public record law dictates that all LLCs must disclose the name of the owner in its articles of organization. These documents are then made available for public search on Florida's Division of Corporations site. For this reason, you cannot simply form an anonymous LLC on your own.

However, there are two options available to you if you want to form an anonymous LLC. First, you have the option of listing our name through a nominee agreement. Second, you can form an anonymous LLC in a state that allows it then list the owner of that LLC as the owner of your Florida LLC. If you are interested in the second option, here are the steps you will need to complete to achieve an anonymous Florida LLC:

First, form an anonymous LLC outside the state of Florida. There are a few states in the Us that allow for the formation of anonymous LLC. These states are Delaware, Nevada, and New Mexico. For this example we will use the state of New Mexico, which does not require LLCs to file annual reports.

With the first step complete, you can file your articles of organization with the Florida Division of Corporations to form you Florida LLC. WHen asked to list the owners of your LLC, list the information of your anonymous New Mexico LLC. List this information when asked to list a manager, as well. For the contact information (phone and address), you can list our phone and office information.

Your articles of organization will require the signature of an organizer. For this you can either use a professional incorporation service or use our own nominee service. You can use either of these services when filing additional documents or making changes in the future. Finally, be sure to maintain registered agents for your LLCs to ensure they remain in good standing with the state.

Once you complete the steps outline above, you have successfully created an anonymous LLC in the state of Florida. If you keep to the instructions, then there isn't a reason why your personal information has to be listed on any document at any point throughout the formation process. On the Florida Secretary of State's site, it will show only the name and information for your New Mexico company (NM used in our example above) and the New Mexico of State's site will show only the name and information for your Florida company. Since we would never share your information as our client, the search ends right there.

It is important to note that the double company strategy listed here is not always an available option. In some states, the Secretary of State office requires the name of the person filing. This is the case even if it is an entity filing the articles, where the Secretary of State still requires an individual’s name.
